Japan’s ENEOS Group has reportedly decided to acquire U.S. chemical company TPC Holdings Inc. Upon completion of the acquisition, ENEOS is reported to secure the world’s third-largest butadiene production capacity.
TPC Holdings is reported to be a chemical company with butadiene and C4 fraction production facilities located near Houston, Texas, and elsewhere in the United States. Through this acquisition, ENEOS is reported to plan to secure a butadiene production base in the U.S. and expand related business. Process technology information related to the acquisition has not been separately disclosed.
The deal is reported to be valued at approximately $1.3 billion (around 190 billion yen) and was announced on August 7, 2026. Deal closing is reported to be targeted for October 2026, subject to regulatory approvals and other closing conditions.
Butadiene is a basic fraction used as feedstock for various chemical products including synthetic rubber, and ENEOS is reported to be seeking to strengthen its position in the global butadiene market through this acquisition.
Implications for Korea’s Industry
It is reported that Korean synthetic rubber and chemical companies that use butadiene as feedstock would benefit from continued monitoring of the reorganization of the global butadiene supply chain.
Whether the deal closes as targeted in October 2026 and the progress of the regulatory approval process are cited as key points to watch.
