SK Gas has resolved at a board meeting to absorb and merge with its subsidiary SK Advanced, it is reported. Through this merger, SK Gas will integrate its LPG (Liquefied Petroleum Gas) import and sales business with its propylene production business under a single corporate structure.
SK Advanced is a wholly owned subsidiary of SK Gas that has been producing propylene based on the PDH (Propane Dehydrogenation) process, it is reported. Since this is a merger between a parent company and a wholly owned subsidiary, no new shares will be issued and existing shareholders’ equity stakes will remain unchanged, it is reported. The specific technology licensor for the PDH process has not been disclosed.
Global propylene markets have reportedly faced oversupply and deteriorating profitability as Chinese companies have continued to expand PDH capacity. Against this backdrop, SK Gas is seen as integrating its LPG and propylene businesses into a single corporate entity to improve operational efficiency across the value chain, from raw material procurement to production.
Implications for Korea’s Industry
This merger could serve as a reference case for other Korean companies operating propylene and PDH businesses as they consider restructuring their own business structures, it is reported.
Key items to watch include how SK Gas’s operating strategy for its propane and propylene businesses evolves following the merger, and whether global propylene market conditions improve.
